Cross-border E-commerce Platform Logistics Service Agreement
This Agreement is signed between you (or the “User”) and MAYLERESCAPE LIMITED Co.
Please read the following terms and conditions of logistics service (hereinafter referred to as “Terms and Conditions” and “Terms and Conditions of China Technology”) in detail before using the logistics service of China Technology, so as to facilitate your understanding of the relevant legal rights and obligations of the logistics service of China Technology. You should read and fully understand the contents of these Terms, especially the limitation and exemption of liability, application of law and dispute resolution.
1.Definition and Interpretation
1.1 Definitions
1.1.1. Affiliated Enterprises referred to in these terms and conditions: refers to enterprises directly or indirectly controlled by either party to these terms and conditions, as well as controlling shareholders, actual controllers or their close relatives of either party and their enterprises directly or indirectly controlled by them.
1.1.2. ZTE Logistics Services Policy (also known as the “ZTE Policy”): means the terms and conditions applicable to Sellers using ZTE, as published on the ZTE Platform and updated from time to time.
1.1.2.1. Contents include, but are not limited to: Centronics Seller Learning Center, Seller Center's Logistics Bulletin and Logistics Rules, Centronics Cross-border Logistics Guidebook, etc.
1.1.2.2. Unless otherwise agreed in the CCTech Policy, the definitions and explanations of terms in the CCTech Policy shall apply to these Terms and Conditions and the Terms of Service for Cross-border Sellers; any adjustments to the CCTech Policy or any matters not covered by the CCTech Policy shall be subject to the CCTech Policy that may be updated and published by CCTech Platform from time to time.
1.2 Revisions and Updates to these Terms and Conditions
1.2.1. You acknowledge and agree that China Total Technology Logistics reserves the right to modify, upgrade, suspend, replace or terminate the provision of filler services under these Terms at any time without prior notice. Unless otherwise agreed in these Terms of Use or otherwise agreed in writing by both parties, China Total Technology Logistics shall not be liable to you for any of the above.
1.2.2. China Total Technology Logistics may at any time publish the revised version of these Terms of Use on the China Total Technology Platform in a manner that China Total Technology Logistics deems appropriate. The revised version of these Terms will become effective 7 days after the date of publication, or on a date designated by China Total Technology Logistics as the effective date not less than 7 days after the revised version is published.
1.2.3. If you have any comments on the revised version of these Terms, you should send them in writing to: zhongquan678@gmail.com
1.2.4. If you continue to use the Service, you are deemed to have agreed to and accepted such changes.
1.3. How we collect and use your personal information
1.3.1. We may collect, use and store your personal data in the course of your use of Zhong Quan Technology.
1.3.2. We take your privacy and the protection of your personal data very seriously. In order to better protect your rights, we have included a detailed description of our privacy practices in our Privacy Policy on the ET Technology Platform. Please read this Privacy Policy carefully to understand how we collect and use personal information about you or your use of Centronics.
1.3.3. By using Centronics or providing information on the Centronics Platform, you agree to allow us to collect, use, disclose and/or process your content and personal information in the manner described in the Privacy Policy.
1.3.4. If you do not consent to your personal information being processed in the manner described in this Privacy Policy, please do not use Centronics.
1.3.5. If we change our Privacy Policy, we will post those changes or the revised Privacy Policy on the Centronics Platform. We reserve the right to change our Privacy Policy at any time.
2. Service contents
Please fill in the type of service standard services provided by China National Science and Technology Logistics.
2.1 Meaning
It refers to the one-stop cross-border logistics service in which your goods (also known as “goods”) are shipped to the buyer's place (also known as “destination country/region”) after arriving at the seller's place (also known as “country/region of origin”) at the Zhongquan Science and Technology Logistics transshipment warehouse (which refers to the warehouse operated by Zhongquan Science and Technology Logistics on its own or in cooperation with carriers in China). One-stop cross-border logistics service for shipment to the buyer's location (also known as “destination country/region”) after receiving and sorting the seller's goods at the logistics transshipment warehouse operated by CST Logistics in China or in cooperation with carriers.
2.2. Basic Service Content
2.2.1. Warehouse sorting and transshipment of goods parcels in the country/region of origin and international logistics transportation: after your goods arrive at the logistics transshipment warehouse of MAYLERESCAPE LIMITED, they will be directly transported to the port of the country/region of destination through the cross-border logistics service provided by MAYLERESCAPE LIMITED Ltd (hereinafter referred to as “MAYLERESCAPE LIMITED Ltd”), its affiliates or its subcontractors. port where the region is located. You can send the consignments to the transshipment warehouse of China National Science & Technology Logistics by mail or logistics transportation.
2.2.2. Import and export customs clearance.
2.2.3. Delivery to the buyer's designated address in the destination country/region (also known as “dispatch”): To avoid ambiguity, China Total Technology Pte L may not deliver the goods directly to the buyer in the destination country/region, and this kind of delivery service may be provided directly or indirectly by the associated enterprises of China Total Technology Pte L in the destination country/region. Such delivery services may be provided directly or indirectly by MAYLERESCAPE LIMITED Pte L's associated companies in the destination country.
2.3. Value Added Services
2.3.1. In addition to the standard Fill in the Service Type services, according to the applicable policies or conditions, CTS Logistics will also provide you with various Fill in the Service Type value-added services, such as door-to-door collection service at the seller's location, international backhauling logistics services, and so on. Agreements on value-added services of please fill in the type of service shall be subject to the latest published policies of CTS on the platform of CTS, such as the CTS Cross-border Logistics Guidance Manual, and if there is no explicit agreement, the terms and conditions shall be applied by reference, unless otherwise agreed by both parties.
2.3.2 Door-to-door collection service at the seller's location: refers to the unpaid or paid door-to-door collection of goods and parcels provided by China Alltech Logistics for you according to your sales performance on China Alltech's platform, the applicable area for door-to-door collection, and other applicable terms and conditions.
2.3.3 International return logistics: the process of returning your goods to the country/region of origin after they have arrived at the country/region of destination for whatever reasons (including but not limited to buyer's return, abnormal delivery, etc.). China National Science and Technology Logistics has the right to adjust the service rate, service content and service standard of the international return logistics service from time to time according to the entry and exit policies of the applicable countries/regions.
3.Service Charges
3.1 Statement of charges
3.1.1 After your goods arrive at the transshipment warehouse of China Total Logistics, it is regarded that China Total Logistics has begun to provide cross-border logistics services for you, and China Total Logistics has the right to charge you the standard service fee of the service type according to the agreement of these terms and conditions.
3.1.2. If you propose to XX Logistics to suspend or terminate the service after your goods have arrived at the transshipment warehouse of CTL, CTL has the right to decide whether to agree to such a request at its own discretion.
3.1.3. If China National Science and Technology Logistics provides you with cross-border logistics services other than the standard services of the type of service requested, value-added service fees of the type of service requested and other surcharges (if applicable) may be charged to you in accordance with the applicable conditions.
3.1.4. You shall pay the service fee of please fill in the service type to China National Science & Technology Logistics on time according to the agreement of these Terms, and you shall not delay, refuse or deduct any payable amount without authorization for any reason, no matter whether your goods have been signed for or not.
3.1.5. If China Total Technology Logistics has started to provide you with cross-border logistics services, whether or not your goods have arrived at the destination or at other addresses designated by you, you shall still pay China Total Technology Logistics the service charges of China Total Technology Logistics and shall bear all the costs related to the handling of such demands.
3.2. Service Charges
3.2.1. China Total Technology Logistics has the right to charge you the standard service fee for the type of service, the value-added service fee for the type of service, and other service fees in accordance with these terms and conditions.
Please fill in the standard service fee for the service type, value-added service fee for the service type and other additional fees (if applicable) (hereinafter referred to as “service fee for the service type”). For details of the service fees agreed in these Terms and Conditions, please refer to the “MAYLERESCAPE LIMITED Cross-border Logistics Guidebook” and the policies of MAYLERESCAPE LIMITED published on the MAYLERESCAPE LIMITED Platform.
3.2.2. ET Logistics reserves the right to adjust the service fee from time to time according to the policy updates of each country/region. If the aforementioned rates are not specified, the latest published content on the platform of China Total Technology shall prevail. The updated Fill in the Service Type service fee rate applies to your Fill in the Service Type order placed after the update. You are deemed to have agreed to and accepted such changes if you continue to use CTG.
3.3. Taxes
3.3.1. According to these Terms, all the fees for the services of please fill in the type of service shall have included the tax that CTL shall bear for providing the services of please fill in the type of service, and you shall bear all the taxes payable for the import and export of the goods by yourself (except for those that CTL or the buyer agrees to bear).
3.3.2. You shall, in accordance with the tax laws of the region in which you are established, pay the taxes and fees payable by China Total Technology Logistics to the authorized tax authorities of the region in which you are established, and reimburse China Total Technology Logistics for the said taxes and fees on the basis of the tax documents issued by the tax authorities for the said taxes and fees. If the tax bill is not provided, China National Science & Technology Logistics has the right to refuse the reimbursement of the above taxes and fees.
3.3.3. You agree that China Total Technology Logistics may deduct the service fees and any applicable taxes payable by you to China Total Technology Logistics directly from the buyer's payment for the purchase, with reference to the Seller Agreement or the Cross-border Seller Terms of Service signed by you and China Total Technology, and to the relevant policies published by China Total Technology for the relevant periodicity of the settlement of the fees and the terms and conditions of operation.
3.4 Other Additional Fees
3.4.1. If you or your recipient chooses the mode of cash on delivery, China Total Technology Logistics has the right to charge additional service fee per piece, which is subject to the price announced by China Total Technology platform.
3.4.2. If you or your recipient chooses the mode of cash on delivery, when your recipient fails to fulfill the payment obligation.
You shall pay to China Total Technology Logistics all the expenses related to the transportation of goods (including immigration), including but not limited to round-trip transportation fees, storage fees, premiums, warehousing fees, taxes, etc. At the same time, China Total Technology Logistics has the right to charge additional service fees for changing the mode of payment for each shipment, which is subject to the prices published on the China Total Technology platform.
3.4.3. For the standard service of fill in the service type provided during the business peak period such as statutory holidays or please fill in the shopping promotion activities, China National Science and Technology Logistics has the right to adjust the service content and service fee standard. The contents and rates of the standard services of the service types during the business peak period shall be subject to the policies announced by CTSL at that time.
3.4.4 For the goods that need to be handled by international return logistics, no matter whether you are paid to use the international return logistics service or not, you should still be responsible for any expenses paid or incurred by CTL on your behalf in relation to such goods, including but not limited to tariffs, customs fines, customs clearance service fees, and so on.
4. User cooperation
4.1. Information provision
4.1.1. The consignment should be accompanied by cargo manifests and other documents and information required by China National Science and Technology Logistics. You should truthfully state the content, quantity, value and other information of the goods in the cargo manifest, and provide accurate information of the address and recipient.
4.1.2 You shall be responsible for the authenticity, legality and completeness of the information declared by you. In the process of receiving the goods, if China National Science and Technology Logistics finds that the content and quantity of the goods are inconsistent with the list of goods, or the information of the consignee is incomplete, China National Science and Technology Logistics has the right to refuse to accept the goods. If the goods are delayed or cannot be delivered due to incorrect information provided by you, China Total Technology Logistics shall not bear any responsibility.
4.2 Quality Assurance
4.2.1 You shall guarantee that the consignments comply with the transportation requirements of CTL and the relevant laws and regulations of the importing and exporting countries/regions as well as the requirements of national or industrial standards, and will not infringe the rights of any third party.
4.2.2. You shall also provide relevant production and operation qualification documents and product qualification certificates according to the needs of import and export customs clearance. If you violate the above provisions and cause losses to CTL or the third party, you shall compensate CTL or the third party.
4.3 Approval and inspection
4.3.1. If your consignments need to go through the procedures of approval and inspection, you should submit the documents proving the completion of the relevant procedures to China National Science and Technology Logistics.
4.3.2. All the responsibilities arising from your failure to provide the corresponding documents shall be borne by you.
4.4. Cooperate with the unpacking inspection
4.4.1. China National Science and Technology Logistics has the right to open and inspect the goods according to the law, and if it is found that the goods are inconsistent with the information of the goods declared by you, China National Science and Technology Logistics has the right to refuse to accept or return the goods, and it has the right to recover the extra costs incurred from you.
4.4.2. China National Science and Technology Logistics has the right to open and inspect the goods according to the law. If the goods are found to belong to or contain embargoed items (embargoed items include but are not limited to items prohibited for transportation by laws and regulations in China, and items listed in the Prohibited and Restricted Commodities Policy published by China National Science and Technology Logistics and China National Science and Technology Cross-boundary Logistics Guidance Manual), China National Science and Technology Logistics has the right to deal with them in accordance with relevant laws and regulations, and has the right to report to you for additional costs.
China National Science & Technology Logistics has the right to deal with the goods in accordance with the relevant laws and regulations and has the right to recover the extra costs incurred from you.
4.4.3 If the goods are found to contain embargoed items during transportation, CTL may choose to return them to you or hand them over to the relevant departments depending on the severity of the problem, and has the right to charge you for the expenses incurred; if the embargoed items cause losses to CTL or CTL's third-party service providers, including but not limited to customs fines and administrative forfeiture, etc., you should compensate CTL or CTL for all the losses suffered as a result of such losses. You shall indemnify China Knowledge Logistics or China Knowledge Logistics third party service provider for all losses suffered as a result.
4.5 Standard Packaging
4.5.1. You shall pack the goods in accordance with the parcel standards announced by China Total Technology Platform and China Total Technology Cross-border Logistics Guidance Manual, and at the same time, the packaging of the goods shall comply with the national or industrial standards of the importing country/region, and if there is no national or industrial packaging standard, the goods shall be packaged in accordance with the principle of guaranteeing the safety of goods transportation.
4.5.2. If the goods are damaged due to your unqualified packing, you will bear the full responsibility for the damage of the goods.
4.6.Dispatch and Rejection Handling
4.6.1 Before the goods arrive at the buyer's location, you should coordinate with the recipient in advance and determine the delivery matters, due to your failure to consensus with the buyer in advance and all the losses caused by your own responsibility. For any temporary change of delivery not due to the reason of CTL, CTL has the right to charge additional service fee for the change (if applicable).
4.6.2 If the buyer or the recipient designated by the buyer objects to the goods or refuses to accept the goods for other reasons, you shall contact the buyer to deal with the signing of the goods and bear any losses that may be caused by the refusal to accept the goods. If you refuse to accept the goods because they are damaged and China National Science & Technology Logistics is liable for the refusal to accept such damaged goods, you can apply for compensation from China National Science & Technology Logistics according to the terms and conditions of these Terms of Use.
5. Handling of abnormal goods
5.1 Delivery abnormality
5.1.1 Applicable circumstances: If the delivery of the goods fails due to the buyer's refusal to accept, the recipient's address information is not known, etc., or if the buyer does not take the goods over the time limit (applying to the scenarios of store distribution and self-pickup counter).
5.1.2 Handling Measures: You shall arrange handling methods within a reasonable time when you know or should know the abnormal delivery of goods, including but not limited to self-pickup by the seller, contacting the buyer for self-pickup, and contacting China National Science & Technology Logistics for re-delivery (if applicable), and so on. If you designate the handling method after the deadline or refuse to designate the handling method, it is regarded as your abandonment of the goods and the abandonment of the rights of the goods, and CTL has the right to decide the handling method of the goods at its own discretion.
5.2. Customs return
5.2.1. Applicable circumstances: the goods that need to be returned due to failure to obtain the entry and exit permits from the customs and other port supervision departments.
5.2.2 Handling Measures: After you have received the notice of Customs return from China National Science & Technology Logistics, or after you know or should know the occurrence of Customs return, you should inform China National Science & Technology Logistics of the handling instruction of such Customs return within the time specified by China National Science & Technology Logistics or within a reasonable time; if you fail to notify China National Science & Technology after the deadline, it is regarded as a waiver of your right of Customs return, and China National Science & Technology Logistics has the right to dispose of them on behalf of you, and you shall bear all the losses of such goods, and bear the responsibility of the goods that have been returned to you. You shall bear all the losses of such goods and any expenses paid or incurred by CTML on your behalf in relation to such goods, including but not limited to customs fines, tariff clearance service fees and freight charges.
5.3. Customs seizure
5.3.1. Applicable circumstances: goods detained or seized due to violation of the laws and regulations on entry and exit management or the provisions of China Total Technology Logistics on embargoed goods.
5.3.2 Handling measures: You shall bear all the losses of such goods and any expenses paid or incurred by CTL on your behalf in relation to such goods, including but not limited to customs fines, tariffs, customs clearance service fees and freight charges.
5.4. Damaged goods
5.4.1. Applicable circumstances: When the goods sent/returned by you or your recipient are damaged upon arrival at the designated collection point or warehouse of China All Tech Logistics for reasons not attributable to China All Tech Logistics, including, but not limited to, natural wear and tear of the goods, or failure to pack the goods in accordance with the “China All Tech Cross-border Logistics Guidance Manual”.
5.4.2 Handling Measures: China National Science & Technology Logistics shall promptly notify you to specify the handling method. If you designate the handling method after the deadline or refuse to designate the handling method, China Total Technology Logistics has the right to decide the handling method of the goods by itself, and you shall bear the reasonable expenses and losses incurred as a result. The period of time you designate for the handling of damaged goods shall be referred to the “China National Science and Technology Cross-border Logistics Guideline Manual” or the policy of China National Science and Technology Logistics on the handling of rejected/returned goods.
5.5 Other abnormal pieces
5.5.1. Applicable cases: the goods sent/returned by you or your addressee are wrongly sent to the collection point or warehouse of China National Science & Technology Logistics not due to the reason of China National Science & Technology Logistics.
5.5.2. Handling measures: China Total Technology Logistics shall not be responsible for the custody of your abnormal goods. If you fail to collect your goods in time, China Total Technology Logistics has the right to charge you the relevant disposal cost according to this clause.
5.6. Hold-up shipments
5.6.1. No matter what reasons your goods are detained in the warehouse of China Total Technology Logistics, after China Total Technology Logistics sends you a notice of the deadline for collecting your goods, or within 15 working days after you know or should know that the above abnormal goods are detained in the warehouse of China Total Technology Logistics, you should collect your goods in time at the designated place of China Total Technology Logistics.
5.6.2 If you fail to collect the goods after the expiration date, it is regarded as your abandonment of the abnormal goods and your right to the goods, and CTL has the right to:
(1) Dispose of the above abnormal goods at its own discretion, and has the right to charge you the relevant disposal costs (if applicable), including but not limited to storage and warehousing costs, recycling costs, scrapping costs and environmental protection tax;
(2) Dispose of the above abnormal goods in any other way that CTSL deems appropriate.
